1. Agreement to these Terms

These Terms of Use ("Terms") are a binding agreement between you and Remitec Solutions Limited ("Lumio", "we", "us"), a company registered in England and Wales with its registered office at 124 City Road, London, England, EC1V 2NX. They govern your use of the Lumio website, web application and browser extensions for Chrome and Edge (together, the "Services"). By creating an account or using the Services, you accept these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian. By using the Services you represent that you have the legal capacity to enter into this agreement.

3. Your account

You agree to provide accurate registration information and to keep your credentials secure. You are responsible for all activity that happens under your account. If you become aware of unauthorized access, notify us promptly using the contact details below.

4. The service and access

Lumio is currently offered as an early-access product and is provided free of charge. Access may be limited, by invitation, or subject to change while the product is in development. If we introduce paid plans in the future, we will publish pricing and billing terms before any charge applies, and these Terms will be updated accordingly. Nothing in the current Services obliges you to pay anything.

5. License and restrictions

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services. You agree not to:

• resell, sublicense or commercially exploit the Services;
• copy, modify, reverse engineer or create derivative works of the Services, except where permitted by law;
• access the Services through automated means that place unreasonable load on our infrastructure, or scrape data belonging to other users;
• circumvent security or access controls, or probe the Services for vulnerabilities without our written permission.

6. Your content

You retain full ownership of the bookmarks, notes, images and other material you save to Lumio ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, store, process, display and back up Your Content solely to operate and improve the Services for you. We claim no other rights over Your Content, and this license ends when you delete the content or your account, except for brief persistence in routine backups.

7. Acceptable use

You agree not to use the Services to store or share content that is unlawful, infringing, defamatory, harassing or malicious (including malware or phishing material), or to use the Services in a way that violates any applicable law. We may remove content or suspend accounts that violate this section.

8. Intellectual property

The Services — including the software, design, logos and the Lumio name — are owned by Remitec Solutions Limited or its licensors and are protected by intellectual property laws. Except for the limited license in Section 5, no rights in the Services are granted to you.

9. Third-party services and links

Your library will contain links to third-party websites, and the Services may fetch public preview data from those sites to display thumbnails. We are not responsible for third-party websites, their content or their practices. Accessing them is at your own risk.

10. Termination

You may stop using the Services and request deletion of your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if we discontinue the Services. Where reasonable, we will give you notice and an opportunity to export Your Content.

11. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free or that content previews will always be accurate or available.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability for all claims relating to the Services is limited to the greater of (a) the amounts you paid us in the 12 months before the claim arose and (b) £50.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud. If you are a consumer, you keep all rights granted by the mandatory consumer protection laws of your country of residence.

13. Indemnification

You agree to indemnify and hold us harmless from claims, damages and expenses (including reasonable legal fees) arising from Your Content, your misuse of the Services, or your breach of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales, and disputes will be subject to the exclusive jurisdiction of the courts of England and Wales — except that consumers resident elsewhere retain the protection of, and the right to bring proceedings under, the mandatory laws of their country of residence.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, notify you in the product or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
